
BYLAWS of
Working Mastiff Registry (WMR)
§1. Name, Purpose, and Headquarters
Name:
The name of the organization is Working Mastiff Registry (WMR).
Purpose:
WMR is a non-profit organization with the goal to:
– Preserve and promote the functional qualities, health, structure, and temperament of mastiff breeds
– Operate a transparent and purpose-driven registration system for dogs and litters
– Support ethical breeding and responsible ownership
– Organize dog evaluations, seminars, and other educational activities
– Foster a community of breeders, owners, and enthusiasts working for the same goal
Headquarters:
The organization’s registered headquarters shall be determined by the board and may be changed as needed.
§2. Organizational Structure
WMR is governed by a general assembly of its members and led by an elected board. The board may appoint working groups or representatives as needed to fulfill the organization’s purpose.
§3. Membership
WMR offers three membership categories:

Breeder Member
– For individuals actively breeding mastiffs
– Includes full access to all registry and evaluation services
– Includes voting rights at the general meeting -
Owner Member
– For individual mastiff owners
– Includes access to registration and evaluations
– Includes voting rights at the general meeting -
Enthusiast Member
– For those who support the mission of WMR but are not active owners or breeders
– Includes access to general information and updates
– No voting rights
Membership Period:
All memberships are valid for 6 months and must be renewed to remain active. Memberships are personal and non-transferable.
Termination of Membership:
Membership may be terminated by written notice, by non-renewal, or if a member violates the bylaws, misuses the registry, or acts contrary to WMR’s values.
§4. General Assembly
The General Assembly (Annual Meeting) is WMR’s highest authority and is held once per year. The board shall send written notice to all voting members at least 4 weeks in advance.
The General Assembly shall:
– Approve annual reports and financial statements
– Elect board members
– Decide on amendments to the bylaws
– Address proposals from members
Extraordinary General Assemblies may be called by the board or by request of 25% of voting members.
§5. Board of Directors
The organization is governed by a board consisting of:
– Chairperson
– Vice Chairperson
– Secretary
– Treasurer
– 1–2 board members
Board members are elected for a term of two years and may be re-elected. The board manages the day-to-day operations, makes strategic decisions, and ensures the organization fulfills its mission.
§6. Finance and Liability
WMR is a non-profit and shall use all income exclusively to fulfill its purpose. The organization may charge fees for services and membership.
Board members shall not be personally liable for the organization’s financial obligations unless otherwise required by law.
§7. Amendments
Amendments to these bylaws require a two-thirds (2/3) majority vote at the General Assembly.
§8. Dissolution
If the organization is dissolved, remaining funds and assets shall be donated to a nonprofit or cause with a similar purpose, as decided by the final General Assembly.
